Welcome to Nutrinomist.com, operated by Nutrinomist OÜ, registry code 17181038, registered address Harju maakond, Tallinn, Lasnamäe linnaosa, K. Kärberi tn 4-96, 13812, Estonia ("Nutrinomist OÜ," "the Site," "we," "us," or "our"). By accessing or using our website, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Site.
- "Nutrinomist OÜ" means Nutrinomist OÜ, a private limited company incorporated in the Republic of Estonia (registry code 17181038, registered address Harju maakond, Tallinn, Lasnamäe linnaosa, K. Kärberi tn 4-96, 13812), the legal entity providing the Service.
- "Service" refers to the Nutrinomist.com website, the Nutrinomist mobile applications, the Nutrinomist APIs, and all content, services, and products made available at or through them.
- "User," "you," and "your" refers to the natural or legal person accessing or using the Service.
- "User Content" means content submitted, uploaded, or transmitted to the Service by a User, including client records, notes, files, journals, and form responses.
- "Nutrinomist Content" means all content created, curated, compiled, or made available by Nutrinomist OÜ, including but not limited to: form templates, questionnaires, journal templates, protocol libraries, symptom and biomarker libraries, AI prompts and prompt chains, knowledge bases, educational materials, taxonomies, scoring systems, methodologies, and any compilation, arrangement, or selection of any of the foregoing.
- "Content" refers collectively to User Content and Nutrinomist Content.
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your account credentials secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
- We reserve the right to suspend or terminate accounts that violate these Terms
- You retain ownership of any User Content you submit. The license you grant to Nutrinomist OÜ in respect of your User Content is set out in the section titled 'Intellectual Property and Database Rights'.
- Users agree not to post content that violates any applicable laws or regulations
- Users agree not to post content that infringes on intellectual property rights
- Users agree not to post content that contains harmful or malicious code
- Users agree not to post content that is threatening, harassing, defamatory, or discriminatory
- Users agree not to post content that contains false or misleading information
- The Service and the Nutrinomist Content are and shall remain the exclusive property of Nutrinomist OÜ, its affiliates, and its licensors. This includes, without limitation: software, source code, object code, user interfaces, visual designs, the structure, sequence, and organization of the Service, trademarks, logos, and trade dress.
- The Nutrinomist Content, in whole or in part, constitutes a database within the meaning of the Estonian Copyright Act (Autoriõiguse seadus) and Directive 96/9/EC of the European Parliament and of the Council on the legal protection of databases. Nutrinomist OÜ is the maker of such database and asserts the sui generis database right in addition to copyright. Substantial qualitative and quantitative investment has been made in obtaining, verifying, curating, and presenting the contents thereof.
- Without prejudice to copyright and other intellectual property rights, you may not extract or re-utilize the whole, or a substantial part (evaluated qualitatively or quantitatively), of the contents of the Nutrinomist Content database, nor repeatedly and systematically extract or re-utilize insubstantial parts thereof, where such acts conflict with the normal exploitation of the database or unreasonably prejudice the legitimate interests of Nutrinomist OÜ.
- All rights not expressly granted to you in these Terms are reserved by Nutrinomist OÜ and its licensors. No license is granted by implication, estoppel, or otherwise.
- You retain ownership of your User Content. By submitting User Content, you grant Nutrinomist OÜ a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, back up, reproduce, modify (only as necessary to operate and improve the Service, including format conversion and resizing), display, perform, and transmit such User Content as necessary to operate and provide the Service to you, your authorised users, and — where you have configured User Content for public display, including on a profile page or any other publicly accessible page — any visitor to such pages, including general-purpose search engines and similar automated agents acting in good faith. The license is sublicensable solely to subprocessors and infrastructure providers strictly to the extent necessary to provide the Service. The license ends when you delete the User Content or terminate your account, except for cached or archived copies retained for a reasonable period for backup or legal-compliance purposes.
- Our trademarks, service marks, trade names, and trade dress may not be used in connection with any product or service without our prior written consent.
- If you believe content on the Service infringes your intellectual property rights, contact ip@nutrinomist.com with: (a) identification of the work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; and (d) a statement, made in good faith, that the use is not authorised.
- You agree not to, and not to permit any third party to, directly or indirectly:
- Access, copy, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any portion of the Service or the Nutrinomist Content by any automated means, including but not limited to robots, spiders, scrapers, crawlers, screen-scraping tools, data-mining utilities, or any similar data-gathering or extraction software. This restriction does not apply to (i) good-faith access by general-purpose search-engine crawlers, social-media link-preview agents, web-archive services, accessibility assistive technologies, and similar widely-used automated agents that comply with our robots.txt and any published rate limits, or (ii) access by authorised users via the Service's documented APIs in accordance with the applicable API terms;
- Bypass, circumvent, disable, or interfere with any security feature, rate limit, technical measure, access control, or restriction of the Service;
- Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive or gain access to the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Service, except to the extent that such activity is expressly permitted by mandatory provisions of applicable law (including, where applicable, decompilation rights under Estonian and EU copyright law) and only after providing Nutrinomist OÜ with prior written notice and a reasonable opportunity to provide the requested information or alternative means;
- Use the Service, or any data, output, prompt, methodology, or content obtained from or observable through the Service, to design, develop, train, fine-tune, benchmark, improve, or evaluate any product, service, machine-learning model, dataset, prompt, or feature that is competitive with the Service or any component thereof;
- Register for, access, or use the Service for the purpose of evaluating its features, performance, content, or methodology for the benefit of any competing product or service, or on behalf of any competitor of Nutrinomist OÜ;
- Create derivative works of any Nutrinomist Content, except as expressly authorised by these Terms or by separate written agreement signed by Nutrinomist OÜ;
- Remove, obscure, or alter any copyright, trademark, watermark, or other proprietary-rights notice contained in or accessible through the Service;
- Resell, rent, lease, sublicense, transfer, assign, or otherwise make the Service available to any third party except as expressly permitted herein;
- Use the Service in any manner that violates applicable law, infringes the rights of others, or interferes with the integrity or performance of the Service.
- Breach of this Section is a material breach of these Terms and entitles Nutrinomist OÜ to immediate suspension or termination of your account, in addition to any other available remedies, including damages, equitable relief, and recovery of legal costs.
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Upload or transmit malicious code or viruses
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service for any illegal or unauthorized purpose
- Harass, abuse, or harm others
- Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
- We offer various subscription plans with different features and Pricing
- Subscription fees are billed in advance on a recurring basis
- All fees are non-refundable except where required by law
- You agree to provide current, complete, and accurate payment information
- You authorize us to charge your chosen payment method for all fees
- To the maximum extent permitted by law, Nutrinomist.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Nutrinomist.com shall not be liable for any loss of profits, data, or use
- Nutrinomist.com shall not be liable for any damages exceeding the amount paid by you for services in the past 12 months
- We reserve the right to modify or discontinue the Website or any features at any time without notice
- We may modify these Terms at any time
- Continued use of the Website after changes constitutes acceptance of modified Terms
- Users will be notified of material changes via email or Website notice
- These Terms and any dispute arising out of or in connection with them, including their formation, validity, performance, breach, or termination, are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
- The parties shall first attempt in good faith to resolve any dispute through written notice and informal negotiations. Notice shall be sent to legal@nutrinomist.com.
- If a dispute cannot be resolved within thirty (30) days of written notice, the parties submit to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia, as the court of first instance.
- Where you are a consumer ordinarily resident in the European Union, nothing in this clause limits any right that mandatory consumer-protection law gives you to bring proceedings in your country of residence, or to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
- You acknowledge that any breach of the sections titled 'Prohibited Uses' or 'Intellectual Property and Database Rights' may cause Nutrinomist OÜ irreparable harm for which monetary damages would be inadequate, and that Nutrinomist OÜ is therefore entitled to seek injunctive or other equitable relief from any court of competent jurisdiction, in addition to any other remedies, without the necessity of posting bond or proving actual damages.
- Users may terminate their account at any time
- We may terminate or suspend accounts for Terms violations
- Upon termination, users lose access to all services and content
